These Terms of Service ("Terms") govern your use of the website and services provided by DoctorBilling.ai ("we," "our," or "us"). By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

DoctorBilling.ai is a revenue cycle management company headquartered in Hennepin County, Minnesota. We provide billing, coding, and healthcare revenue cycle management services to healthcare providers and practices.

1. Services

We provide revenue cycle management services including but not limited to:

  • Medical billing and claims submission
  • Payment posting and reconciliation
  • Denial management and appeals
  • Credentialing services
  • Revenue cycle consulting
  • Practice optimization

The specific scope of services will be defined in a separate Service Agreement between DoctorBilling.ai and the client practice.

2. HIPAA Compliance and Business Associate Agreement

In connection with our services, we may receive access to Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). All PHI is handled in strict compliance with HIPAA requirements.

Prior to receiving any PHI, clients must execute our Business Associate Agreement (BAA). The BAA governs the use, disclosure, and protection of PHI and is incorporated into these Terms by reference.

Our HIPAA compliance includes implementation of appropriate administrative, physical, and technical safeguards as required by the HIPAA Security Rule.

3. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for billing services
  • Execute a Business Associate Agreement prior to sharing any PHI
  • Maintain appropriate documentation for all services rendered
  • Notify us promptly of any changes to practice information, billing requirements, or payer contracts
  • Pay for services rendered in accordance with the agreed-upon fee schedule
  • Comply with all applicable healthcare laws and regulations

4. Payment Terms

Payment terms will be specified in your Service Agreement. Unless otherwise agreed:

  • Fees are calculated as a percentage of collected revenue or as otherwise specified
  • Payment is due within 30 days of invoice date
  • Late payments may accrue interest at a rate of 1.5% per month
  • Client is responsible for all costs of collection, including reasonable attorney fees

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, and patient information exchanged in connection with the services. This obligation survives termination of the Service Agreement.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties.

6. Intellectual Property

All intellectual property rights in our services, including our website, software, methodologies, and proprietary processes, remain the exclusive property of DoctorBilling.ai.

Client data and information provided to us remains the property of the client, subject to our right to use such information for providing services.

7. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee specific results, collection rates, or reimbursement amounts. Past performance metrics are not indicative of future results.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCTORBILLING.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL DOCTORBILLING.AI'S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY CLIENT TO DOCTORBILLING.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless DoctorBilling.ai and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your violation of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy rights
  • Your misuse of our services
  • Any inaccurate or incomplete information provided by you

10. Termination

Either party may terminate services upon thirty (30) days written notice to the other party. Upon termination:

  • Client shall pay for all services rendered through the termination date
  • We will cooperate in transitioning services to client or successor provider
  • All PHI will be returned or destroyed in accordance with HIPAA requirements
  • Confidentiality obligations survive termination

11. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

a. Agreement to Arbitrate. You and DoctorBilling.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of our services, or the relationship between the parties, whether based in contract, tort, statute, or any other legal theory, shall be determined by arbitration before a single arbitrator. You and DoctorBilling.ai further agree that any arbitration shall be conducted in Hennepin County, Minnesota, or another location mutually agreed upon, and shall be conducted in accordance with the rules of the American Arbitration Association ("AAA") then in effect.

b. Class Action Waiver. YOU AND DOCTORBILLING.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

c. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in state or federal court located in Hennepin County, Minnesota to protect its intellectual property rights or confidential information. Either party may also seek relief in small claims court for disputes within the jurisdiction of such court.

d. Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to DoctorBilling.ai within thirty (30) days of your first use of our services. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement.

e. Governing Law. These Terms and any dispute arising hereunder shall be governed by the laws of the State of Minnesota, without regard to conflict of law principles.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota, and you hereby consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified so that it is valid and enforceable and achieves to the greatest extent possible the original intent of the parties.

14. Entire Agreement

These Terms, together with the Service Agreement and Business Associate Agreement, constitute the entire agreement between you and DoctorBilling.ai regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.

No amendment to these Terms shall be effective unless in writing and signed by both parties.
